Provider Terms of Service
1. Nature of the Service
Suitespace is a technology platform that enables Providers to create, manage, and sell services such as appointments, sessions, events, camps, or similar activities to End Users ("Customers"). Suitespace is not a service provider. Suitespace is not a party to the contract between Provider and Customer. Suitespace does not offer medical, psychological, legal, financial, or professional advice. Suitespace does not verify the correctness of Provider content or licensing. All services are provided solely by the Provider.
2. Eligibility and Account Responsibility
To use Suitespace, you must be at least 18 years old, have the legal capacity to enter into contracts, and provide accurate registration information. You are responsible for maintaining the security of your account. All activities occurring under your account are your responsibility. Suitespace may suspend or terminate your account at any time, at its sole discretion.
3. Provider Obligations
4.1 Compliance with Laws
You are solely responsible for complying with all applicable laws, licensing requirements, professional regulations, and consumer protection rules in your jurisdiction.
4.2 Taxes
You are solely responsible for calculating, reporting, and paying all taxes related to transactions with Customers.
4.3 Accuracy of Content
You are fully responsible for all content uploaded to Suitespace, including descriptions, pricing, availability, qualifications, and images. Suitespace does not verify Provider content and is not responsible for inaccuracies or omissions.
4.4 Provider–customer Contract
All services are delivered directly by the Provider to the Customer. Suitespace is not a party to any agreement between Provider and Customer.
4. Subscription and Payment Terms
5.1 Subscription Plans
Providers may choose among the following subscription plans: Starter, Essential, Premium, Enterprise. These plans may be billed monthly or yearly.
5.2 Auto-renewal
All subscriptions renew automatically unless canceled before the renewal date.
5.3 30-Day Money-Back Guarantee
Suitespace offers a 30-day money-back guarantee for first-time subscriptions. If you cancel within 30 days of your initial subscription purchase, you may request a full refund of your subscription fee. This guarantee does not apply to renewals or add-ons.
5.4 Marketplace Commission (if Applicable)
If you use Stripe Connect (Standard) to receive payments, Suitespace may charge a marketplace commission (such as 5 percent) on each transaction.
5.5 Taxes on Suitespace Subscription
Suitespace applies a no-tax model for subscription fees unless required by future legal changes.
5. Payment Processing Through Stripe Standard
Suitespace integrates with Stripe Standard accounts for payment processing. Providers connect their own Stripe account and receive payouts directly from Stripe. Stripe handles all identity verification (KYC/KYB). Suitespace does not hold Customer funds at any time.
6. Prohibited Uses and Restricted Services
The following categories are strictly prohibited on Suitespace: Adult content or sexual services Gambling, betting, lotteries Unlicensed medical or psychological services Prescription drugs or controlled substances Weapons, explosives, harmful materials Fraudulent, deceptive, or illegal services Human trafficking or harmful activities Violations of Stripe Restricted Business Policies Suitespace may remove any prohibited content or suspend accounts at its sole discretion.
7. User-generated Content and License
Providers retain full ownership of all content uploaded to Suitespace. By using Suitespace, you grant a worldwide, royalty-free license for Suitespace to host, display, and distribute your content for platform functionality and marketing purposes. Suitespace will never sell or sublicense Provider content.
8. Provider's Relationship with Customers
Provider acknowledges: Suitespace is not responsible for cancellations, refunds, no-shows, or disputes. Provider must clearly communicate cancellation and refund policies to Customers. Provider is responsible for issuing invoices to Customers. All disputes must be resolved directly between Provider and Customer. Suitespace is not liable for any service-related issues.
10. Limitation of Liability
To the maximum extent permitted by law, Suitespace's total liability shall not exceed the subscription fees paid by the Provider to Suitespace during the twelve (12) months preceding the event giving rise to the claim. Suitespace is not liable for lost profits, data loss, service interruption, or any indirect or consequential damages.
11. Service Availability
Suitespace does not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party failures, or AWS outages may cause temporary downtime. No credits or compensation will be provided.
12. Data Protection and Privacy
Suitespace acts as a Data Controller for Provider account data and as a Data Processor for Customer booking data. Processing is governed by the Suitespace Privacy Policy, Data Processing Agreement (DPA), and KVKK Addendum when applicable. Provider is responsible for collecting lawful consent from Customers according to GDPR/KVKK requirements.
13. Termination
Suitespace may suspend or terminate accounts at any time. Provider may cancel their subscription at any time. If Provider cancels within 30 days of the initial subscription purchase, Provider may request a full refund of the subscription fee; otherwise, subscription fees are non-refundable. Upon termination: Booking data is retained for 12 months. Financial records are retained for 5 years.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved exclusively in the courts of Toronto, Ontario.
15. Modifications
Suitespace may update these Terms at any time. Continued use of the platform constitutes acceptance of revised Terms.
